This Trade Name and Brand Protection Legal document is provided by WP Global Syndicate LLC, an Oklahoma limited liability company, doing business as SonicVox (“Company,” “we,” “us,” or “our”).

1. OWNER & TRADE NAME

1.1 Ownership

WP Global Syndicate LLC, an Oklahoma limited liability company ("Company"), claims common law trademark rights in the mark SONICVOX™, based on bona fide use in commerce.

1.2 Ownership Scope

The Company claims ownership of the SONICVOX™ mark and associated goodwill, subject to applicable law.

1.3 Rights Reservation

No rights in the mark are granted except as expressly authorized in this notice or under written agreement.

1.4 Common Law Notice

NOTICE: These rights are based on common law use only. Federal trademark registration is pending. Common law rights are limited to the geographic areas where the mark has been actually used and do not provide the benefits of federal registration, including nationwide priority, presumption of validity, federal court jurisdiction, or the right to use the ® symbol.

3. SCOPE OF PROTECTION

3.1 Common Law

Common law trademark rights extend to:

3.1.1 Mark Usage

The mark SONICVOX™ as used in connection with any AI-related audio, video, agent, translation, or marketing service.

3.1.2 Geographic Scope

Geographic territories where the mark has been officially used in commerce.

3.1.3 Trade Dress

Trade dress and product configuration, to the extent distinctive and legally protectable under applicable law.

3.1.4 Domain Names

Associated domain names to the extent they incorporate the SONICVOX mark.

3.2 Right Upon Federal Registration

Upon federal USPTO registration, protection will extend to:

Nationwide priority from date of filing

Constructive notice of ownership

Presumption of validity and exclusive right to use

Ability to bring infringement actions in federal court

Statutory damages and attorney(s) fees (for intentional infringement)

Basis for international trademark registration

Right to use ® symbol

Ability to prevent importation of infringing goods

4. PERMITTED USE

4.1 Nominative Fair Use

Third parties may reference "SonicVox" without permission, only when:

    1. The product or service cannot be readily identified without using the trademark (e.g., "compatible with SonicVox");
    2. Only so much of the mark is used as is reasonably necessary to identify the product/service; and
    3. The use does not suggest sponsorship or endorsement by SonicVox.

4.2 Authorized Use

The following uses require prior written authorization:

Use of SonicVox logos, designs, or stylized marks;

Prominent display implying partnership or endorsement;

White-label or co-branding arrangements;

Reseller, affiliate, or partner branding;

Domain name registration incorporating SONICVOX; and

Use of SONICVOX in advertising, marketing materials, or promotional content

4.3 Proper Attribution

When permitted to reference SonicVox:

Use ™ symbol (not ® until federal USPTO registration issues).

Include attribution: “SonicVox is a trademark of WP Global Syndicate LLC.”

Do not alter or modify the mark.

Maintain visual distinction from your own branding.

Use marks as adjectives, not nouns or verbs, and do not pluralize or modify possessively.

Marks must be used as adjectives and not as nouns or verbs, must not be pluralized or possessively modified, and must not be combined with other marks without authorization.

5. PROHIBITED USE

5.1 Trademark Infringement

Use of SONICVOX or confusingly similar marks in connection with competing goods/services

Use is likely to cause confusion, mistaken identity, or deception as to source, affiliation, or endorsement

Registration of domain names incorporating SONICVOX in bad faith

5.2 Trademark Dilution (where applicable under federal law, following registration)

Blurring: use that impairs distinctiveness

Tarnishment: use that harms reputation

5.3 False Designation of Origin

False claim of affiliation, sponsorship, connection, or endorsement

Use suggested services are provided, approved, or certified by SonicVox

5.4 Unauthorized Modifications

Altering logos, colors, fonts, or design elements

Creating derivative or composite marks

Using mark in a manner that disparages or misrepresents the brand

6. ENFORCEMENT

6.1 Rights Reservation

WP Global Syndicate LLC reserves all rights to enforce its trademark rights to the extent permitted by law.

7. LIMITS ON ENFORCEMENT (UNREGISTERED MARK)

7.1 Geographic Limitation

Common law rights extend only to areas of actual use

Cannot prevent use in territories where WP Global Syndicate LLC has not used the mark

Competing user in different geographic area may have superior rights

7.2 Forum Limitation

Without federal registration, WP Global Syndicate LLC may not rely on the evidentiary presumptions and enhanced remedies provided by federal registration, and enforcement may require proof of common law rights and likelihood of confusion.

Must bring claims in state court under:

State trademark statutes (Oklahoma Trademark Act, 78 Okl. St. § 21 et seq.)

Common law unfair competition

Passing off / palming off torts

State court remedies are more limited and harder to obtain

7.3 Burden of Proof

Must prove actual use in commerce and acquired distinctiveness

Must prove actual consumer confusion

No presumption of validity or ownership

Defendant can challenge ownership and scope of rights

7.4 Remedies Limitation

Cannot obtain statutory damages (15 U.S.C. § 1117) – only actual damages

Cannot recover attorney’s fees unless exceptional case

Cannot obtain treble damages for willful infringement

Injunctive relief more difficult to obtain without presumption of validity

7.5 Administrative Limitations

Cannot use Trademark Trial and Appeal Board (TTAB) proceedings

Cannot file opposition or cancellation proceedings against conflicting federal applications

Cannot use Anti-Cybersquatting Consumer Protection Act (ACPA) for domain disputes

Cannot prevent importation of goods using the mark (15 U.S.C. § 1124)

7.6 Available Remedies (Unregistered)

Cease-and-desist letters (limited effectiveness without registration)

State court actions for unfair competition

Injunctive relief (if likelihood of confusion proved)

Actual damages (difficult to prove and quantify)

UDRP proceedings for domain disputes (limited to clear bad faith cases)

8. Right Upon Federal Registration

8.1 Enhanced Enforcement Rights

Federal court jurisdiction nationwide

Presumption of validity (15 U.S.C. § 1057(b))

Nationwide constructive use priority from filing date (15 U.S.C. § 1057(c))

Statutory damages up to $2,000,000 for counterfeiting (15 U.S.C. § 1117(c))

Attorney's fees available (15 U.S.C. § 1117(a))

Treble damages for willful infringement

Enhanced remedies under ACPA for cybersquatting ($100,000+ per domain)

Customs enforcement to prevent imports

International registration basis (Madrid Protocol)

8.2 Jurisdiction

Prior to federal registration: Oklahoma state courts

After federal registration: Federal courts (nationwide jurisdiction)
